Additional Building Information
IMPORTANT:
In the event of any dispute
between the Shareholder and the prospective Buyer arising out of, or in
connection with, the sale or proposed sale of the Shareholders unit and shares
in the Cooperative ( Dispute), the Shareholder and the prospective Buyer
agree that they shall be jointly and severally liable to reimburse the
Cooperative promptly for the full amount of any legal fees and expenses
incurred by it as a result of the Dispute whether or not the proposed sale of
the unit is or is not completed. It is a condition to the sale that, not later
than the closing date, the Cooperative receive the full amount of all legal
fees and expenses incurred by it prior to the closing. The Shareholder and
Prospective Buyer agree that they shall remain jointly and severally liable to
the Cooperative for any additional legal fees and expenses incurred by the
Cooperative following the closing. A condition to submitting the
application to the Board of Directors is that the parties execute the indemnity
agreement included in the sale application.
